Terms & Conditions for Independent Distributors of Dharmayu Wellness


1. Introduction

These Terms & Conditions govern the relationship between Dharmayu Wellness (the “Company”), a proprietorship firm, and the independent distributor (“Distributor”) who agrees to promote and sell the Company's products under the terms outlined herein.

2. Distributor Eligibility

  • Must be 18 years or older.
  • Must comply with all local laws and regulations regarding independent sales activity.
  • Must not have been previously terminated or banned by the Company for any reason.

3. Appointment as a Distributor

Upon approval of the application, the Distributor will receive authorization from Dharmayu Wellness to promote and sell its products as an independent distributor. This relationship is non-exclusive and the Distributor is free to sell other products not conflicting with those of Dharmayu Wellness.

4. Independent Distributor Status

The Distributor is not an employee, partner, or agent of Dharmayu Wellness. The Distributor operates as an independent contractor responsible for their own business activities, including taxation, permits, and licenses. The Company shall not be responsible for any liabilities incurred by the Distributor.

5. Distributor Responsibilities

  • Promotion & Sales: The Distributor is responsible for promoting and selling the Company's products, including A-PULSE premium juice and Dharmayu Wellness D-Care, in an ethical and lawful manner.
  • Product Knowledge: The Distributor must familiarize themselves with the products offered by Dharmayu Wellness and accurately represent their benefits, uses, and limitations.
  • Sales Targets: Distributors are encouraged to meet sales targets set forth by the Company. Participation in special offers or commissions may be contingent on achieving these targets.
  • Compliance: The Distributor must adhere to all legal obligations, including tax filings and obtaining necessary licenses.
  • Ethics & Integrity: The Distributor shall conduct their business with honesty and integrity. Misrepresentation of the Company or its products, fraud, or unethical behavior will result in termination.

6. Marketing and Use of Company Branding

The Distributor may use Dharmayu Wellness’ branding, logos, and marketing materials provided by the Company solely for the purpose of promoting and selling the products. The Distributor may not alter, misuse, or tarnish the Company’s branding in any way.

7. Compensation & Commission

Distributors are compensated based on product sales and commissions. The structure of commissions will be communicated at the time of appointment. The Company reserves the right to modify commission structures with prior notice.

8. Payments and Orders

  • Distributors are responsible for the collection of payments from customers.
  • Orders for products must be placed in accordance with the Company's ordering system.
  • Payments for ordered products must be made on time and in full.

9. Return and Refund Policy

All returns, refunds, and exchanges will be processed according to the Company’s standard return policy. Distributors are required to inform customers of these policies when making sales.

10. Confidentiality

Distributors must maintain the confidentiality of all proprietary and sensitive information of Dharmayu Wellness, including customer data, pricing details, marketing strategies, and other business-related information.

11. Termination

  • Either party may terminate the Distributor agreement at any time with or without cause, provided written notice is given.
  • The Company reserves the right to terminate the Distributor’s status in the event of breach of these terms, unethical conduct, or non-compliance with local laws and regulations.
  • Upon termination, the Distributor must immediately cease using any materials or representations of Dharmayu Wellness.

12. Limitation of Liability

DHARMAYU Wellness shall not be liable for any damages, losses, or claims arising out of the Distributor’s independent business operations. The Distributor assumes full responsibility for their own business expenses and risks.

13. Governing Law

These terms are governed by the laws of India. Any disputes or claims arising out of or related to this agreement shall be subject to the exclusive jurisdiction of the courts of Pune, Maharashtra.

14. Amendments

The Company reserves the right to modify or amend these Terms & Conditions at any time. Distributors will be notified of any changes in a timely manner, and continued participation in the sales program after changes have been made shall constitute acceptance of such amendments.

15. Acceptance of Terms

By applying and acting as an Independent Distributor of Dharmayu Wellness, the Distributor agrees to abide by the Terms & Conditions outlined herein.
